DRAFT — to be reviewed by a lawyer before public launch.
Draft of 18 October 2026; document version:2026-10-28.
SOFTSOLEDGE IT LLC (ТОВ «СОФТСОЛЕДЖ АЙТІ»; EDRPOU code 45418214; vul. Zelena 109, office 444, Lviv 79035, Ukraine; the "Provider"), in accordance with Articles 633, 634, 641 and 642 of the Civil Code of Ukraine and the Law of Ukraine "On Electronic Commerce", offers to any natural person aged 16 or over, and to a person under 16 with the consent of their parents or other legal guardians (the "User"), to enter into this agreement on the terms set out below.
1. Definitions
- Service — the Cifrela messenger: the app for Android and iOS and the Provider's message delivery server.
- Account — the User's account created at registration.
- Acceptance — the User's full and unconditional agreement to the terms of this agreement.
- Documents — this agreement, the Privacy Policy and the Consent to the Processing of Personal Data published in the Service.
2. Acceptance and conclusion of the agreement
2.1. The User accepts this offer by ticking the box "I agree to the Public Offer Agreement and the Privacy Policy and give my consent to the processing of personal data" during registration in the app and completing the registration.
2.2. From the moment of acceptance the agreement is deemed concluded in electronic form and has the same force as an agreement in writing.
2.3. The Service records the version of the Documents and the time of acceptance; this record confirms the conclusion of the agreement.
3. Subject of the agreement
3.1. The Provider gives the User access to the Service for exchanging encrypted messages (and, as these features are introduced, files and calls), and the User uses the Service in accordance with this agreement.
3.2. During testing, access is provided free of charge. Paid plans (in particular for companies) may be introduced under separate terms, which the User will be able to review before paying.
3.3. During testing the Service is provided "as is"; individual features may change, become temporarily unavailable or be discontinued.
4. Registration and account
4.1. Registration is possible by invitation ("confirmed" profile) or by email ("not confirmed" profile). A "not confirmed" profile may use all features of the Service except creating invitations for others until it is confirmed. Accounts of company employees are created only by invitation from the company.
4.2. Encryption keys and message history are stored only on the User's device; the server keeps encrypted messages for no longer than 30 days and solely for delivery. The Provider has no access to the content of messages and cannot restore the history or the account if the device or PIN is lost, the app is uninstalled or the data is destroyed (including automatically after a series of failed PIN attempts, if the User has enabled this feature).
4.3. The User is responsible for keeping their device and PIN safe and for actions taken from their account.
4.4. The username of a deleted account cannot be registered again for one year (protection against impersonation), unless the Provider releases it earlier at the request of its former holder.
4.5. A company employee's account may be deleted by the owner of the company account or together with the company; in that case the app on the employee's device destroys the local data at its next connection to the server.
5. Rights and obligations of the parties
5.1. The User undertakes not to use the Service for: sending spam; actions that violate the laws of Ukraine or the rights of third parties; distributing unlawful content; interfering with the operation of the Service (attacks, brute-forcing, circumventing restrictions, automated mass registrations); impersonating another person.
5.2. The User has the right to use the Service, to delete their account at any time ("Settings → Data → Wipe all data") and to contact the Provider.
5.3. The Provider undertakes to operate the Service with reasonable care, to protect data in accordance with the Privacy Policy and to give notice of material changes to the terms.
5.4. The Provider has the right to modify the Service; to temporarily restrict access for maintenance; to block or delete an account in the event of a breach of clause 5.1 (the Provider cannot see the content of messages and acts on the basis of complaints, signs of abuse or legal requirements).
6. Personal data
6.1. Personal data is processed in accordance with the Privacy Policy and the User's consent, which form an integral part of this agreement.
7. Liability
7.1. The parties are liable for breach of this agreement in accordance with the laws of Ukraine.
7.2. Since the Service is provided free of charge during testing, the Provider is not liable for indirect losses, loss of data on the User's device (including for the reasons set out in clause 4.2), interruptions of communication networks and third-party services, or for the content of messages exchanged between users.
7.3. The limitation of liability does not apply where consumer protection law expressly provides otherwise.
8. Force majeure
8.1. The parties are released from liability for failure to perform their obligations due to force majeure, including martial law, hostilities, and power and communication outages, certified in the manner prescribed by law.
9. Term, amendment and termination
9.1. This agreement is concluded for an indefinite term and takes effect upon acceptance.
9.2. The User may terminate the agreement at any time by deleting their account.
9.3. The Provider may amend the terms of the agreement by publishing a new version in the Service and gives advance notice of material changes. Continued use of the Service after the changes take effect constitutes acceptance of them.
9.4. The Provider may terminate the agreement in the event of systematic breach of clause 5.1 by the User or discontinuation of the Service, by notifying the User.
10. Dispute resolution
10.1. This agreement is governed by the laws of Ukraine. Disputes are resolved by negotiation and, failing agreement, by a court in accordance with the laws of Ukraine. This does not limit the rights that consumers have under the laws of their country of residence.
11. Language of the agreement
11.1. This agreement is drawn up in Ukrainian; the Provider also publishes translations into English, Polish, German and Spanish. In the event of any discrepancy between the language versions, the Ukrainian version prevails, unless mandatory consumer protection law provides otherwise.
